Restricted Access

The Foundation website contains information specifically aimed at the exempt classes of investor created by the Financial Services and Markets Act 2000 and the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (as amended) (the “FSMA Order”) including investment professionals, certified high net worth individuals, high net worth companies, certified sophisticated investors, self-certified sophisticated investors or associations of high net worth or sophisticated investors. By accessing this website users confirm that they are currently within such an exempt class of investor. Any person who does not fall within the applicable exemptions set out in the FSMA Order must not access the website or act on it or rely on it for any purposes whatsoever. In overview:

A person qualifies as a high net worth individual if they had, during the financial year immediately preceding the date of their certification, an annual income to the value of £100,000 or more or held net assets to the value of £250,000 or more (excluding principal residence, pension provisions or life insurance) and have signed, within the period of 12 months prior to this promotion being made to them, a statement in a prescribed form. A person qualifies as a certified sophisticated investor if they have a current certificate in writing signed by an authorised person to the effect that the investor is sufficiently knowledgeable to understand the risks associated with an investment of this nature and who has signed, within the period of 12 months prior to this promotion being made to them, a statement in a prescribed form that they qualify as a certified sophisticated investor able to receive exempt promotions. A person qualifies as a self-certified sophisticated investor if they have signed, within the period of 12 months prior to this promotion being made to them, a statement in a prescribed form confirming that they are a self-certified sophisticated investor with experience in specific areas and can receive financial promotions that may not have been approved by an authorised person.

Participation in opportunities found on the website will be conditional upon prospective investors providing a copy of their certificate. The foregoing is only an indication of the requirements for an investor to fall within the applicable exemptions.
